End User License Agreement (EULA)
This End User License Agreement (“Agreement”) governs your use of Sky Scribe, provided by Skyward Solutions (“Company”), a company owned and operated by Jesse Schaa, CEO. By accessing or using Sky Scribe, you agree to be bound by this Agreement.1. Definitions
Sky Scribe: The AI-powered software-as-a-service offering made available by Company. End User: You, an individual or entity that accesses or uses Sky Scribe. License: The rights granted to you under this Agreement.2. License Grant
The Company grants you a non-exclusive, non-transferable, revocable license to access and use Sky Scribe solely for your internal business or personal purposes.This license does not permit resale, sublicensing, distribution, or commercial hosting of Sky Scribe without prior written consent from Company.3. Restrictions
You may not:Reverse engineer, decompile, disassemble, or attempt to derive the source code of Sky Scribe.Modify, adapt, translate, create derivative works, or copy any part of Sky Scribe.Circumvent or disable any security or technological features of Sky Scribe.Use Sky Scribe to develop a competing product or service.Remove or alter any proprietary notices on Sky Scribe.4. Ownership
Company retains all right, title, and interest in and to Sky Scribe, including all intellectual property rights. No rights are transferred to you except as expressly granted in Section 2.5. Fees, Payment, and Renewals
All fees for paid features of Sky Scribe are outlined on Company’s pricing page or subscription agreement.Unless otherwise specified, subscription fees renew automatically at the end of each term until you cancel. Cancellations must be submitted at least 30 days prior to your next renewal date.6. Term and Termination
This Agreement is effective upon your first use of Sky Scribe and continues until terminated.Company may terminate or suspend your access immediately if you breach this Agreement. Upon termination, all rights granted to you under this Agreement cease and you must stop using Sky Scribe.7. Disclaimer of Warranties
Sky Scribe is provided “as is” and “as available,” without warranty of any kind.To the fullest extent permitted by law, Company disclaims all express, implied, or statutory warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.8. Limitation of Liability
In no event will Company, its officers (including Jesse Schaa), directors, employees, agents, or affiliates be liable for any indirect, special, incidental, punitive, or consequential damages.Company’s total aggregate liability for any claim arising under this Agreement will not exceed the total amount paid by you to Company in the 12 months preceding the event giving rise to the claim.9. Indemnification
You agree to defend, indemnify, and hold harmless Company, Jesse Schaa, and their respective officers, directors, employees, and agents from any third-party claims, liabilities, losses, or expenses arising out of:Your violation of this Agreement.Your misuse of Sky Scribe.Your infringement of any third-party rights.10. Governing Law and Venue
This Agreement is governed by the laws of the State of Arizona, without regard to its conflict of laws principles.Any dispute arising under this Agreement will be resolved exclusively in the state or federal courts located in Cochise County, Arizona.11. Changes to this Agreement
Company may modify this Agreement at any time by posting revised terms on its website. Continued use of Sky Scribe after changes constitutes your acceptance of the updated terms.It is your responsibility to review this Agreement periodically.12. Entire Agreement
This Agreement, together with any additional terms referenced herein, constitutes the entire understanding between you and Company regarding Sky Scribe and supersedes all prior or contemporaneous agreements.13. Contact Information
